These Terms of Service ("Terms") govern your access to and use of the website, services and digital products provided by Globalfy Group LLC ("Globalfy", "Company", "we", "our" or "us"), a limited liability company registered in the State of New Mexico, United States (EIN 98-1939358), with principal place of business at 911 E Atlantic Blvd, STE 101, Pompano Beach, FL 33060.

By accessing this website or purchasing any service or product from us, you ("Client", "User" or "you") agree to be bound by these Terms. If you do not agree, you must not use our website, services or products.

1. Services and Products

Globalfy Group provides software development, technology consulting, SaaS platforms and proprietary digital products to clients in the United States and internationally. The scope, deliverables, timeline and fees of any specific engagement will be defined in a separate proposal, statement of work, order confirmation or service agreement, which shall be deemed incorporated into these Terms.

2. Eligibility

You must be at least 18 years of age and have the legal authority to enter into a binding agreement to use our services or purchase our products. By using our services, you represent and warrant that you meet these requirements.

3. Account Registration

Certain services may require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. Fees, Payments and Taxes

Fees for our services and products will be communicated prior to purchase. Payments are processed through reputable third-party payment providers (such as Stripe and Wise). All fees are stated in United States Dollars (USD) unless otherwise specified. Invoices are due upon receipt unless otherwise agreed in writing.

You are responsible for all applicable taxes, duties and similar government assessments associated with your use of our services and products.

5. Intellectual Property

All content on this website, including text, graphics, logos, software code, designs, audio and video, is the property of Globalfy Group LLC or its licensors and is protected by United States and international intellectual property laws. You may not reproduce, distribute, modify or create derivative works without our prior written consent.

For client engagements, ownership and licensing of deliverables shall be defined in the applicable service agreement or statement of work.

6. Acceptable Use

You agree not to use our website, services or products for any unlawful, harmful, fraudulent or infringing purposes, including but not limited to:

• Infringing the intellectual property rights of any third party
• Transmitting malware, viruses or any harmful code

Our aggregate liability for any claims arising out of or relating to these Terms shall not exceed the amount paid by you to us in the twelve (12) months preceding the claim.

You agree to indemnify, defend and hold harmless Globalfy Group LLC and its affiliates from and against any claims, liabilities, damages, losses and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your use of our services or your breach of these Terms.

10. Termination

We may suspend or terminate your access to our services at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to us, other users or third parties. Upon termination, your right to use our services ceases immediately.

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Broward County, Florida.

We may update these Terms from time to time. The "Effective date" at the top of this page indicates when these Terms were last revised. Material changes will be communicated through our website. Continued use of our services after such changes constitutes acceptance of the revised Terms.
